General terms and conditions
Last updated: 9 October 2026
These terms apply to all contracts between Grodt WebSolutions, a service of Astraios AG, Gewerbestrasse 5, 6330 Cham, Switzerland (hereinafter „we“), and our customers based in the European Union.
1. Scope, businesses only
We conclude contracts exclusively with businesses, that is with natural or legal persons acting in the course of their trade, business or self-employed profession, and with public-sector clients. We do not conclude contracts with consumers. By placing an order you confirm that you are acting as a business. We may ask for proof of this, for example the VAT identification number. Differing terms of the customer apply only if we agree to them in text form (for example by email).
2. Conclusion of contract
The information on our website is not a binding offer. In response to your enquiry you receive a quote from us in text form. The contract is concluded when you confirm this quote in text form.
3. Services and cooperation
The scope follows from the quote and the service description stated in it. You supply in good time what we need for the work, in particular logo, access details and approvals. If we suggest texts, you check and approve them. You are responsible for the accuracy of the information you give and for the rights to the material you supply. Hosting and domain are not part of our service unless the quote says otherwise.
4. Prices and currency
All prices are net prices in euros, plus statutory VAT where applicable. For customers in the EU with a valid VAT identification number we invoice under the reverse charge procedure. The price stated in the quote applies. We derive our price list in euros from our prices in Swiss francs and review it monthly. An adjusted price list applies only to new orders. For running subscriptions we may adjust the price in text form with 60 days‘ notice. In that case you may cancel the subscription with effect from the date of the adjustment.
5. Payment
We issue invoices by email. The fixed price for a website is due before the onboarding call. We bill subscriptions monthly or yearly in advance. The discount for annual payment applies only where payment is made yearly in advance. Invoices are payable within 14 days without deduction. Bank charges are borne by the customer.
6. Timescales
The stated delivery times in working days begin after the onboarding call and once we have received all the necessary material. Delays caused by a lack of cooperation extend the time limits accordingly.
7. Revisions and acceptance
The fixed price includes the number of rounds of revisions stated in the package. We charge further changes and services outside the package by agreement at the hourly rate of €129 net. After completion we make the website available to you for acceptance. It is deemed accepted when you approve it, when it goes live at your request, or when you do not report any material defects in text form within 10 working days of it being made available.
8. Voluntary right to cancel
You may cancel a website order in text form within 14 days of ordering without giving reasons, as long as the onboarding call has not yet taken place. We refund any amounts already paid. After the onboarding call, cancellation is excluded. There is no statutory right of withdrawal, because we conclude contracts only with businesses.
9. Subscriptions
Subscriptions for maintenance, visibility and SEO have no minimum term. They renew for one billing period at a time and may be cancelled by either party in text form to the end of the current billing period. Unused allowances for small changes expire at the end of the month.
10. Rights of use and reference
On payment in full you receive the non-exclusive right, unlimited in time and territory, to use the website we have created for your business. The terms of the respective rights holders apply to the software, themes, plugins and licensed images used. We may name you as a reference and place a discreet credit to us in the legal notice and in the footer of the website, unless you object.
11. No legal advice, no promise of results
We do not give legal advice. Legal texts such as the legal notice, privacy policy and cookie notices, and the legal review of your content, are your responsibility. We set up the pages and tools needed for them technically. For SEO and visibility services we owe the agreed activities, not specific rankings, visitor numbers or revenue.
12. Warranty for defects
We remedy free of charge any defects in the website that you report to us in text form within 12 months of acceptance. This does not cover faults caused by interference by third parties or by the customer, by updates not carried out where there is no maintenance subscription, or by changes to hosting, third-party software or search engines.
13. Liability
We are liable without limitation for intent and gross negligence and for injury to life, body or health. Otherwise our liability is excluded as far as the law permits, in particular for loss of profit, loss of data and indirect damage. Where we are liable for slight negligence, liability is limited to the amount you paid us for the service concerned in the twelve months before the event giving rise to the damage.
14. Data protection
Where we process personal data on your behalf, for example when maintaining your website, we conclude a data processing agreement under Art. 28 GDPR with you.
15. Applicable law and place of jurisdiction
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Zug, Switzerland. We may also bring claims against the customer at the customer’s registered office.
16. Final provisions
If any provision is invalid, the remaining provisions stay in force. These terms are available in several languages. In the event of discrepancies, the German version prevails.
